1. Software-as-a-Service

This agreement provides access to and use of Invoicezy’s online software services as outlined on invoicezy.com ("Service").

2. Use of Service

• Customer Data: All logos, data, and information uploaded by the Customer remain the Customer’s property. Invoicezy may use such data solely to operate and improve the Service.
• Access: Customers may allow authorized contractors to use the Service. All users must follow these terms.
• Responsibilities:
  • Keep login credentials confidential.
  • Be responsible for all activity under their account.
  • Notify Invoicezy of unauthorized use.
  • Use the Service for legal and intended purposes only.
• Support: Basic support is available via invoicezy.com/contact or at support@invoicezy.com.

3. Publicity

Invoicezy may use Customer name and logo in promotional materials unless the Customer opts out by contacting support.

4. Disclaimer

The Service is provided "AS IS". Invoicezy disclaims all warranties, including fitness for a particular purpose or error-free operation.

5. Payment Terms

Fees are payable per subscription plan. Accepted methods include:

• Credit Cards (Visa, MasterCard, etc.)
• UPI / Bank Transfer / PayPal (if available)

Late or failed payments may result in suspension after 15 days.

6. Confidentiality

Both parties agree to protect each other’s confidential information. This excludes public or independently obtained data.

7. Intellectual Property

All platform software, design, and tools are the property of Invoicezy and may not be copied or used to build competing services.

8. Termination

This agreement remains active until terminated by either party. Data export is available for 90 days post-termination. Any unpaid amounts are due immediately.

9. Limitation of Liability

Invoicezy is not liable for indirect or incidental damages. Maximum liability is limited to the fees paid in the last 6 months.

10. Indemnity

Customers agree to indemnify Invoicezy for claims related to misuse of the Service or uploaded data.

11. Governing Law

This agreement is governed by the laws of India. Legal matters fall under the jurisdiction of courts located in Varanasi, Uttar Pradesh, India.

12. Other Terms

• This document is the entire agreement.
• Changes must be made in writing.
• Rights are non-transferable.
• Force Majeure applies to delays beyond control.
• Feedback may be used by Invoicezy without restriction.

13. Refund Policy

Invoicezy is a cloud-based invoicing solution available at pro.invoicezy.com. Users are required to subscribe to a plan to access and use premium features of the platform. Subscription fees are charged in advance and are valid only for the specific duration selected by the Customer.

All subscription payments are non-refundable. Once a payment is successfully processed, no refunds will be issued—regardless of usage, cancellation, or dissatisfaction—except where required by applicable law.
